1. Purpose

The purpose of this Protection of Personal Information Policy (the “Policy“) is to protect Personal Information and to govern the manner in which AV&R Vision & Robotics Inc. (“AV&R“) collects, uses, discloses, retains, destroys and manages such Personal Information. In addition, it is intended to inform Individuals about how AV&R handles their Personal Information.

Among other things, this policy describes how your Personal Information is collected, used and shared when you visit the AV&R Academy, GetBot! and AV&R sites (our “Sites”).

2. Scope

This policy applies to all types of Personal Information managed or held by AV&R, whether it be information about our visitors, customers/partners (potential or actual) or any other Individuals.

By using our sites or doing business with us, you consent to the collection and use of information in accordance with this Policy. You can visit our sites without revealing your identity, however some features require the collection of Personal Information. You always have the choice whether or not to provide this Personal Information.

The Personal Information we collect is used to provide and improve our service. Your Personal Information will not be shared except as described in this Policy.

We comply with applicable privacy laws.  This Policy details AV&R’s commitment and measures to ensure the protection of Personal Information.

3. Definition

Privacy Incident“: An unauthorized access, use or disclosure of Personal Information, the loss of Personal Information or any other breach of the protection of Personal Information.

Individual(s)“: The person whose Personal Information is collected.

Personal information” means any information about an Individual that enables that person to be identified, directly or indirectly. For example, it could be a person’s last name, first name, e-mail address, telephone number, language, etc.

Privacy Officer“: Designated person responsible for ensuring the protection of Personal Information in accordance with applicable legislation.

4. General information

AV&R collects, uses, discloses, retains and destroys Personal Information when it is necessary and when it has a legitimate and serious interest.

AV&R will follow the principles of privacy protection, such as transparency, security, privacy, and accuracy of Personal Information.

AV&R has designated a Privacy Officer and has implemented appropriate security measures to protect Personal Information against loss, theft, misuse, unauthorized disclosure and destruction.

AV&R and its employees are required to maintain the confidentiality of Personal Information and to take all security measures necessary to safeguard it, regardless of the medium or location in which it is stored or held.

5. Handling of personal information

5.1 Collection and Use of Personal Information

AV&R collects, uses or discloses Personal Information identified as necessary to conduct its business and meet its business objectives only.

AV&R collects Personal Information directly from the Individual(s) with whom it interacts.

AV&R collects Personal Information about you when you interact with our sites, including when you create an account. The Personal Information AV&R may collect includes: First and last name, company, country, e-mail address, information about where you click to view your preferences.

AV&R may automatically collect Personal Information from your use of the Sites. Personal Information automatically collected by AV&R may include the web page you visited on our Sites, the time you spent on those pages, the information you searched for on our Sites, the time and duration of your visit to our Sites, and similar information collected by AV&R through cookies. Where applicable, this information automatically collected by AV&R will be associated with the Personal Information you have provided on our Sites. Personal Information may also be collected by AV&R from third parties. In such cases, AV&R will take reasonable steps to ensure that the communication has been authorized by the Individual whose Personal Information is collected or has been made in accordance with applicable legal requirements.

Except in cases where it is not deemed necessary by law, the knowledge and consent of the Individual(s) are required to allow the collection, use or communication of Personal Information.

AV&R will identify the purposes for which it collects Personal Information at the time of collection and will inform Individuals if the identified purposes change over time or if new purposes are added.

AV&R collects, uses and discloses Individual Personal Information without knowledge or consent only when authorized by law; AV&R may, among other things, collect, use and disclose Personal Information without knowledge or consent when it is clearly acting in the Individual’s best interests, for legal, medical or security reasons, and consent cannot be obtained in a timely way. AV&R may also do so in the event of an emergency that threatens the life, health or security of the Individual.

Our sites may use the Personal Information collected to facilitate the user experience, to provide information and recommendations to users, to analyze performance and operations, and to study how users use our digital properties.

5.2 Disclosure of Personal Information

AV&R may disclose Personal Information to third parties in accordance with applicable law and in the course of its business activities in order to achieve its business objectives.

Such third parties include, but are not limited to, government agencies where required by law; providers of professional services, financial and banking services, technology services (cloud), security services (controlled goods Program, background check, etc.).

Where Personal Information is disclosed to third parties, AV&R will take appropriate steps to ensure that such Personal Information is protected and handled in accordance with this Policy and applicable law.

5.3 Retention of Personal Information

Regardless of the medium used to store Personal Information, it will be protected against loss or theft, as well as unauthorized access, disclosure, copying or modification.

Access to Personal Information will be restricted to AV&R employees and third parties who require such access in order to perform their duties or services.

AV&R employs safeguards that are reasonable in light of the sensitivity of the Personal Information, including physical, electronic and organizational security measures.

AV&R protects Personal Information from unauthorized access, disclosure, copying or use, using a variety of security safeguards. Methods of protection include, but are not limited to:

  • physical measures (locked filing cabinets, restricted access to files, offices and workshop);
  • technical measures (passwords, encryption, firewalls and audits);
  • administrative measures (security clearances, selective access with justification, staff training, confidentiality agreements, policies and procedures);
  • AV&R’s employment and service contracts, which contain a confidentiality clause binding its employees and contractors.

Despite the measures set out above, AV&R cannot guarantee the absolute security of Personal Information transmitted. If a Data Subject has reason to believe that the security of Personal Information transmitted to AV&R has been compromised, the Data Subject should contact the Privacy Officer immediately.

5.4 Destruction of Personal Information

AV&R will retain Personal Information only as long as is reasonably necessary for the fulfillment of the purposes for which it was collected, including satisfying legal, accounting and disclosure requirements and asserting or defending its rights.

Subject to legal obligations, AV&R will retain Personal Information for a maximum of 7 years after the purposes have been fully achieved or following the end of the relationship between AV&R and the Individuals.

The Personal Information will then be destroyed or anonymized. Anonymized Personal Information will be retained only for legitimate and meaningful purposes and in accordance with best practices and the criteria and conditions determined by law.

5.5 Accuracy of Personal Information

AV&R allows Individuals to access their Personal Information and to correct it if necessary.

AV&R tries to keep the Personal Information of an Individual accurate, complete and up to date. AV&R will not regularly update Personal Information unless it is needed. If you notice any errors in our records or if your Personal Information changes, please let AV&R know right away.

At the end of the applicable retention period, the Personal Information will be destroyed in a secure manner.

5.6 Inquiries and Complaints

An Individual may request access to, and a copy of, information about the collection, use or disclosure of his or her Personal Information.

If an Individual believes that the Personal Information held by AV&R is inaccurate, incomplete, or that the collection, disclosure or retention of his or her Personal Information is not permitted by law, the Individual may request that AV&R correct his or her Personal Information.

If the Individual successfully demonstrates that the Personal Information held by AV&R is inaccurate, incomplete or misleading, or that the collection, disclosure or retention of the information is not permitted by law, AV&R will amend the Personal Information as requested.

An Individual has the right to withdraw his or her consent to the use and disclosure of his or her Personal Information at any time. Withdrawal of consent may, in certain cases, prevent the Individual from fulfilling his or her contractual obligations.

Written requests may be forwarded to the Privacy Officer. The Privacy Officer will respond to requests within a reasonable time.

Any complaint relating to the interpretation, application or alleged violation of the Policy must be submitted in writing to the Privacy Officer. If the complaint is justified, the Privacy Officer will take appropriate measures to resolve the situation and ensure the protection of Personal Information in accordance with the Policy.

5.7 Confidentiality Incidents

If an Individual is informed or suspects that a Privacy Incident is occurring in connection with AV&R’s operations or the operations of a third-party service provider that handles Personal Information provided by AV&R, he or she must report such incident promptly and follow the steps below:

1) Contact the Privacy Officer;

2) Provide all information that leads to believe that a privacy incident has occurred and the steps the Individual has taken as a result;

3) Take all reasonable measures to limit or eliminate the risks associated with the privacy incident;

4) Work with the Privacy Officer to manage the privacy incident.

Prompt action is essential for an effective response to a Privacy Incident. AV&R will take reasonable steps to reduce the risk of negative impact and to prevent recurrence. When an incident involves a risk of serious harm, AV&R will promptly notify the appropriate privacy authorities. Where required by law, AV&R will notify any Individual whose Personal Information is the subject of a Privacy Incident.

AV&R will take reasonable steps to prevent future breaches or incidents of privacy.

Governing Law: These Terms of Use shall be governed by and construed in accordance with the laws of the Province of Quebec and the federal laws of Canada applicable therein without regard to principles of conflict of laws. The courts of the Province of Quebec shall have exclusive jurisdiction over all disputes. The parties hereby irrevocably submit to the jurisdiction of the courts of the District of Montreal in the Province of Quebec.

Severability: If any provision of these Terms of Use is found by a court of competent jurisdiction to be invalid, that provision shall be deemed severed from these Terms of Use and shall not affect the validity of these Terms of Use as a whole.
